Free HKSI Study Notes: Paper 1 Preview

Start with the regulatory distinctions behind HKSI Paper 1. These four excerpts are available to read now; the linked public guide contains the wider revision material.

Paper 1: who does what?

Read the explanation, pause to explain the distinction in your own words, then check the common mistake. These are independent revision notes, not official examination questions.

The two-tier regulatory structure and background to securities regulation

Government develops financial policy and legislation, while statutory regulators exercise their own legal functions. Exchange bodies also perform front-line market regulation under the statutory framework. The SFC was established in 1989; the SFO came into operation on 1 April 2003 and consolidated and modernised earlier securities and futures legislation.

Watch out. Do not date the creation of the SFC to the SFO commencement in 2003, or confuse policy-making with day-to-day licensing and supervision.

The SFC: objectives, functions and structure

The SFC is an independent statutory regulator. Its six SFO objectives concern orderly, fair, efficient, competitive and transparent markets; public understanding; investor protection; reducing crime and misconduct; reducing systemic risk; and assisting the Government in maintaining financial stability. Licensing, supervision, product authorisation and enforcement are functions used to pursue those objectives.

Watch out. Do not confuse statutory objectives with functions or guarantees. Product authorisation does not promise returns or compensate ordinary investment losses.

HKEX, SEHK, HKFE and clearing houses

HKEX is the listed holding company of the exchange group. Its operating subsidiaries include SEHK (securities), HKFE (futures and options) and the clearing houses for post-trade services. Exchanges operate the markets day to day; the SFC supervises them under the SFO framework.

Watch out. Using HKEX and SEHK interchangeably; HKEX is the holding company, SEHK the operating exchange.

Other regulators and the registered institution regime

Banking, insurance and MPF have their own regulatory authorities alongside the SFC. An authorised financial institution carrying on an applicable SFO regulated activity generally uses SFC registration as a registered institution, with the HKMA as front-line supervisor. Type 3 leveraged foreign exchange trading and Type 8 securities margin financing are excluded from that registration requirement for authorised financial institutions.

Watch out. Do not apply the registered-institution requirement indiscriminately to every bank activity, or confuse a bank with a separately incorporated non-bank subsidiary.
